Platform Terms of Service

Version 1.0-20261028 · Effective date: 2026-10-28

1. Agreement and operator

These Terms govern access to LokalFlow provided by Ofdast Network (registration 002908949X), at No.52, Jalan CVR 8, Country Villas Resort, 77200, Bemban, Melaka. Contact: hi@respawned.my. “Merchant” means the business offering goods or services through LokalFlow; “Buyer” means its customer. A Merchant accepts these Terms, the Merchant Agreement, Acceptable Use Policy, Subscription Policy and Data Processing Addendum by an affirmative acceptance recorded at registration or a later update. A person accepting for a business confirms authority to bind it. Mere publication of revised terms does not retrospectively change an existing contract.

2. Platform and sales contracts

LokalFlow supplies commerce software, including storefront, order, payment-integration and fulfilment-integration tools available under the selected plan. The identified Merchant supplies its products and enters the sales contract with the Buyer, unless LokalFlow expressly identifies itself as the seller for a particular transaction. LokalFlow is responsible for its own platform services and applicable operator duties. Merchant responsibility does not remove any duty imposed on LokalFlow by law. Hosting, a subdomain, paid membership, a review badge or inclusion in search does not certify a product, professional qualification or regulatory approval.

3. Accounts and authorised access

Merchant account holders must be at least 18 and legally capable of contracting. Provide accurate identity and business details and keep them current. Supply reasonably requested verification through the designated secure channel. Protect credentials, restrict staff access to their duties, and promptly report compromise. You are responsible for authorised users and misuse attributable to your failure to take reasonable care, but not for every unauthorised act regardless of cause. Do not bypass limits, impersonate others, compromise systems or access another tenant’s data. Report security weaknesses privately without accessing unnecessary data.

4. Payments and integrations

Merchant checkout payments use the payment method and provider displayed for that transaction. Where a Merchant connects its own gateway or payment account, settlement, refunds and chargebacks are governed by that arrangement and the law. A displayed payment or shipping status is information received or recorded through the service; investigate discrepancies before fulfilment. We do not promise a payment-provider licence exemption or unrestricted access to funds. Third-party providers impose their own eligibility, product, security and service rules. Merchants must authorise connections lawfully and may disconnect them, subject to handling outstanding transactions. Only functions actually available in your account are supplied.

5. Content and intellectual property

You retain rights in your content. You grant a non-exclusive licence to host, reproduce, adapt for technical formatting and display it to operate the features you use, including storefronts and enabled discovery, and to maintain necessary backups and evidence. This is not a licence to sell customer data or use private order data in public advertising. You must have the rights and lawful permissions needed for uploaded content. LokalFlow retains its software, branding and documentation rights. Custom domain ownership remains with its owner; a LokalFlow subdomain is a revocable service allocation. Report alleged intellectual-property infringement through the Complaints Policy.

6. AI and voice features

AI output and speech recognition may be inaccurate. Review product descriptions, claims, quantities, prices and generated material before publishing or confirming an order. Do not use these features to diagnose, prescribe, generate prohibited claims or bypass product restrictions. Merchant review is additional to LokalFlow’s own duties, not a waiver of responsibility for our service. AI or voice processing is described in the Privacy Notice. No sales, ranking, conversion, medical or financial outcome is guaranteed.

7. Availability and changes

We will exercise reasonable care and skill in providing the platform. Maintenance, security incidents and external failures may interrupt availability. No uptime percentage or recovery time is promised unless separately agreed in writing. Keep suitable business records and use available export facilities or request assistance. We will give reasonable notice of material adverse changes to paid features, normally at least 30 days, unless urgent security or legal action is necessary. If a material paid feature is permanently withdrawn without a reasonable substitute, you may terminate the affected service and request a proportionate refund for its unused prepaid period.

8. Restriction and termination

We may request evidence, remove content, disable checkout or integrations, or suspend an account where reasonably necessary to address suspected illegality, safety risks, fraud, security threats, serious breach, non-payment or a lawful direction. We may act immediately where delay could cause harm or compromise an investigation. Otherwise we will normally explain the concern and allow a reasonable opportunity to respond. Measures should be proportionate and reviewed when relevant evidence changes. The Complaints Policy provides an appeal route. Suspension does not authorise unlawful withholding of customer funds. We may preserve records and provide safe access for outstanding-order support or export where lawful. You may close your account by contacting us; closure does not erase outstanding lawful obligations.

9. Limits of liability

Nothing excludes liability or remedies that cannot lawfully be excluded, including applicable consumer rights, fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory data-protection duties. Subject to that safeguard, for business users we exclude indirect or consequential loss and loss of expected profits or business opportunities. Our aggregate liability for other claims arising from the platform in a rolling 12-month period is capped at the greater of RM100 and platform fees paid or payable by that business for the preceding 12 months. This cap does not apply to refunds expressly due under our policies. It does not bind regulators or prevent lawful complaints, injunctions or statutory remedies. Third-party involvement does not excuse our own breach.

10. Updates and disputes

We will identify the version and effective date and give at least 14 days’ notice of material contractual changes, except necessary urgent legal or security changes. Obtain and retain fresh affirmative acceptance where required; changed terms govern prospectively. If you reject a material adverse change during a prepaid term, contact us before it takes effect to arrange cessation and a proportionate refund of the affected unused service. Malaysian law governs, subject to mandatory protections applicable to you. Malaysian courts have jurisdiction; this does not remove access to a competent consumer tribunal or another forum required by law. Contact us to seek resolution, but urgent relief, regulatory reports and statutory deadlines need not wait. An unenforceable provision is severed only to the extent necessary. Mandatory law prevails; the Data Processing Addendum controls processing conflicts and the Subscription Policy controls billing conflicts. Bahasa Malaysia prevails over English if meanings differ, without reducing mandatory rights.

11. First publication and existing accounts

This version is first published with effect from 28 October 2026. It does not represent that these terms were supplied or accepted when LokalFlow launched in July 2026. New Merchants accept during registration. Existing Merchants are invited to review and expressly accept this version; the actual acceptance time is recorded. Publication alone does not retrospectively replace an earlier contract, waive accrued rights or establish acceptance. Any applicable earlier contract and mandatory notice requirements remain relevant.
