Merchant Agreement
1. Your business and customers
This Agreement supplements the Platform Terms. You are responsible for the legality, authenticity, safety, labelling, tax treatment, pricing, stock and fulfilment of your goods and services; necessary licences; accurate advertisements; and after-sales obligations. Provide your legal or trading identity, business address, working email and telephone, product characteristics, total charges, payment methods, delivery estimates and sales terms before purchase, together with any required safety or health certification. Keep registration and verification records current. Do not imply that LokalFlow, a payment provider or a public authority approves your products without evidence.
2. Product evidence and continuing duties
Before listing, hold the evidence required for the product and destination market. On reasonable request provide registration, licence, advertising approval, provenance, safety and supplier documents through a secure channel. A laboratory purity report is not a substitute for a marketing authorisation or applicable licence. Notify us promptly of expired approvals, recalls, regulatory notices, suspected counterfeits or serious safety complaints. Stop affected sales, preserve evidence and cooperate with lawful recall, buyer-notification and refund steps. Our review does not transfer your duties to us or certify a product.
3. Orders and fair dealing
Honour lawful confirmed orders or promptly explain cancellation and provide refunds when due. Do not mark an order paid, dispatched, delivered or refunded without a truthful basis. Publish cancellation, return and digital-delivery conditions without removing mandatory consumer remedies. Do not fabricate reviews, suppress genuine reviews merely for being negative, make false scarcity claims or use misleading reference prices. Disclose incentivised endorsements and affiliate relationships. Affiliates you engage must comply with product and advertising rules; their activities do not enlarge permission to sell restricted goods. Do not recruit through unlawful pyramid schemes.
4. Customer data and communications
Give customers a suitable privacy notice and obtain required permissions. Use order contact details for the transaction and purposes lawfully disclosed; do not add buyers to unrelated marketing lists without the required permission. Do not upload unnecessary medical records, identity documents or financial credentials. Secure exports and staff access. The Data Processing Addendum governs data processed on your instructions; LokalFlow remains responsible for its own independent processing. We may retain evidence and disclose necessary records on a lawful basis, but not indiscriminately publish private customer information.
5. Indemnity and handling claims
To the extent lawful, you indemnify the operator against substantiated third-party claims, reasonable defence costs and losses caused by your unlawful products, infringement, misleading content, breach of this Agreement or unlawful data instructions. Liability is proportionate to your responsibility and excludes losses caused by our negligence, wilful misconduct or breach. It does not reimburse a penalty where the law prohibits that. We must notify you reasonably promptly, mitigate loss and allow reasonable participation in the defence. Neither party may settle in a way that admits the other’s fault or imposes obligations on it without written consent, not unreasonably withheld. An allegation alone does not make a claimed amount immediately payable.
6. Exit and enforcement
Listing restrictions and appeals follow the Platform Terms and Complaints Policy. Do not recreate removed listings, use another account or substitute coded product names to evade review. Outstanding customer remedies, tax duties, lawful record retention and accrued claims survive suspension or closure. Provide requested information relevant to outstanding orders and cooperate with a safe transition. We will not demand a waiver of statutory rights as a condition of handling an appeal.
7. First publication and existing accounts
This version is first published with effect from 28 October 2026. It does not represent that these terms were supplied or accepted when LokalFlow launched in July 2026. New Merchants accept during registration. Existing Merchants are invited to review and expressly accept this version; the actual acceptance time is recorded. Publication alone does not retrospectively replace an earlier contract, waive accrued rights or establish acceptance. Any applicable earlier contract and mandatory notice requirements remain relevant.
